Section 1: Basic Information
1.1 Service Name
The name of the service provided under these Terms of Use is “Wine Kiosk” (hereinafter referred to as “the Service”).
1.2 Company Name & Entity Type
The Service is operated and provided by GK Wine Kiosk (hereinafter referred to as “the Company”).
1.3 Applicable Jurisdiction
These Terms of Use shall be governed by and interpreted in accordance with the laws of Japan.
1.4 User Eligibility
The Service is available exclusively to companies and individuals engaged in the wine trade. By registering for and using the Service, users affirm that they meet these eligibility requirements.
Section 2: Account Registration & Use
2.1 Account Registration
- To access and use the Service, users must register an account and provide accurate, complete, and up-to-date information during the registration process.
- The Company reserves the right to refuse registration or terminate accounts if inaccurate or misleading information is detected.
- Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.
2.2 Account Usage
- Each account is intended for the exclusive use of the registered user and may not be shared, transferred, or assigned without prior written consent from the Company.
- Users must take appropriate security measures to prevent unauthorized access to their accounts.
- The Company shall not be liable for any loss or damage arising from unauthorized access due to user negligence.
Section 3: Prohibited Activities
Users are strictly prohibited from engaging in any of the following activities while using the Service:
- Violating any applicable laws or regulations, including but not limited to intellectual property laws and trade restrictions.
- Posting, selling, or distributing content that is illegal, defamatory, obscene, fraudulent, or otherwise inappropriate.
- Sending unsolicited commercial messages (spam) or engaging in disruptive activities that hinder the operation of the Service.
- Impersonating another person or misrepresenting an affiliation with any entity.
- Attempting to hack, manipulate, disrupt, or gain unauthorized access to the Service or any related systems.
- Engaging in transactions outside the platform with the intent of avoiding fees or circumventing platform policies.
- Any other actions that the Company deems harmful, abusive, or inappropriate for the platform.
Section 4: Data Collection & Privacy
4.1 Data Collection
- The Company collects and processes user-provided data, including but not limited to registration details and transaction-related information.
- The Service may also store data provided by users’ customers (end-users) as part of platform functionality.
- All collected data is used solely for the purpose of providing and improving the Service.
4.2 Privacy & Compliance
- The Company complies with Japan’s Personal Information Protection Act, as well as international regulations such as GDPR and CCPA, where applicable.
- Users are responsible for ensuring that they obtain necessary consent from their customers before submitting personal data.
- Users may request access to, modification of, or deletion of their personal data by contacting the Company’s support team.
Section 5: Service Fees & Payments
5.1 Fees
- The use of the Service is subject to a subscription-based pricing model, determined by the selected plan and the number of published products.
- The Company reserves the right to modify pricing structures with prior notice to users.
5.2 Payments
- Invoices for the Service will be issued at the end of each billing cycle, and payment must be completed within the specified period.
- If payment is not received by the due date, the Company may suspend or terminate the user’s access to the Service.
Section 6: Termination of Agreement
6.1 User-Initiated Termination
- Users may terminate their accounts at any time by following the designated account deletion procedure.
- Upon termination, users will no longer have access to any stored data, which may be permanently deleted after a specified retention period.
6.2 Company-Initiated Termination
- The Company reserves the right to suspend or terminate accounts that violate these Terms of Use without prior notice.
- The Company shall not be liable for any damages or losses incurred as a result of account termination due to policy violations.
Section 7: Governing Law & Dispute Resolution
7.1 Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of Japan.
7.2 Dispute Resolution
- Any disputes arising from these Terms of Use shall be resolved through good-faith negotiations between the parties.
- If negotiations fail, disputes shall be submitted to arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
